Version 1.0
Effective date

These Terms describe the Service as operated on the effective date.

1. Agreement

1.1 Parties. These Terms of Service (the “Terms”) form a binding agreement between SEVEN KG LLC, a Kansas limited liability company (“we”, “us” or the “Company”), and the individual or entity that submits a Job (“you” or “Customer”).

1.2 Acceptance. You accept these Terms by submitting a Job or otherwise using the Service. If you accept on behalf of an organisation, you represent that you have authority to bind it.

1.3 Incorporated documents. Our Acceptable Use Policy and Privacy Policy are incorporated into these Terms by reference. Where these Terms and the Acceptable Use Policy conflict, the more restrictive provision applies. Where you and we have signed a Data Processing Agreement, that agreement governs our handling of personal data and prevails over these Terms on that subject.

2. Definitions

Job
A unit of computing work submitted to the Service together with an Attestation Policy.
Attestation Policy
The set of cryptographically verifiable conditions a host must satisfy before a Job may be placed on it.
Placement
The act of assigning a Job to a specific host that satisfies the Attestation Policy.
Operator
A third party supplying hardware capacity to the Service.
Attestation Evidence
Cryptographic evidence produced by hardware concerning its own configuration and state.
Evidence Bundle
A signed record produced by the Company describing a verification result and the time of verification.
Claim
An individual assertion within an Attestation Policy, which may be satisfied, not satisfied, or incapable of being attested by the hardware concerned.

3. The Service

3.1 What we do. We accept a Job with an Attestation Policy, obtain and verify Attestation Evidence from candidate hosts, place the Job only on a host whose evidence satisfies that Policy, return the results, and issue an Evidence Bundle.

3.2 What we are not. We are not a hosting provider and we do not own the hardware on which Jobs run. We are a verification and placement layer. Hardware is supplied by Operators under separate agreement.

3.3 Credentials. Access to the Service is authenticated by an API key issued to you. We store only a hash of that key and cannot recover it. You are responsible for its security and for all activity under it, and must tell us promptly if you believe it has been exposed. We will re-issue a key on request at any time and for any reason.

4. Attestation policies and placement

4.1 You specify the policy. You choose the Attestation Policy for each Job. We verify against the policy you specify. We do not choose it for you and we do not warrant that a particular policy is appropriate for your risk, your regulator, or your contractual obligations.

4.2 Claims that cannot be attested. Some hardware cannot produce evidence for some claims. Where a Claim cannot be attested by a candidate host, we report it as incapable of attestation. We never treat an absent Claim as a satisfied Claim.

4.3 Placement. We place a Job only on a host whose evidence satisfies every Claim in your Policy. If no such host is available, the Job is not placed.

5. What we commit to, and what we do not

5.1 Verification is by attestation only. Every placement decision is made on the basis of cryptographic evidence produced by hardware. We do not substitute redundant execution, statistical inference, reputation, or an Operator’s own assurance for attestation.

5.2 No unattested tier. The Service has no unattested tier and offers none. We will not place a Job on hardware that has not satisfied its Policy under any circumstance, including capacity shortage.

5.3 Jobs queue rather than downgrade. If capacity satisfying your Policy is unavailable, your Job queues. It is not placed on weaker hardware, and its Policy is not relaxed to find a match. This may mean your Job waits. We consider a delayed Job preferable to a Job whose evidence does not mean what it says, and this is a deliberate design commitment rather than a limitation. A queued Job is not billed — see section 7.3.

5.4 What an Evidence Bundle establishes. An Evidence Bundle records that, at a stated time, hardware presented evidence that satisfied a stated Policy. It attests to hardware. It does not attest that a workload was correct, lawful, secure, free of defects, or fit for any purpose. It is not a security certification, an audit opinion, an accreditation, or a regulatory approval, and it must not be presented as one.

5.5 Evidence Bundles record a result, not a re-derivable proof. Hardware attestation certificates frequently have very short validity windows; one observed during development lasted roughly thirty-three minutes. An Evidence Bundle therefore records our verification result and the time of verification, because the underlying certificates will typically be expired, and therefore unverifiable, by the time a third party examines the bundle. You should not represent to an auditor that a bundle can be independently re-verified from first principles at an arbitrary later date.

5.6 What we do not see, and what we do not claim. We do not inspect the contents of your workload. That is a commitment, and we keep it. It is not, today, a claim of technical impossibility: the Service does not currently place work inside a trusted execution environment that hides a running workload from the owner of the machine it runs on, so an Operator with physical control of a device may in principle observe work running on it. You must assume this is possible and must not submit anything whose exposure to an Operator would be unacceptable. We will say otherwise only when the Service technically enforces otherwise, and these Terms will be amended on that date rather than before it.

5.7 Availability. We offer no service level agreement and make no availability commitment. We are a company of one person and will not promise an uptime figure we cannot staff. If you require a contractual availability commitment, tell us before you rely on the Service, and we will tell you honestly whether we can make one.

6. Your responsibilities

You agree that you will:

  • comply with the Acceptable Use Policy;
  • hold all rights necessary to submit your workload and data to the Service;
  • not attempt to defeat, forge, replay, or misrepresent Attestation Evidence;
  • not attempt to access another customer’s Job, data, results, or Evidence Bundles;
  • not attempt to identify or contact an Operator in order to circumvent the Service;
  • not misrepresent your identity, your jurisdiction, or the nature of your workload in order to obtain Placement; and
  • comply with all applicable law, including export control and sanctions law.

7. Fees and payment

7.1 Fees. Fees are as set out in your order form or on our published price list, in United States dollars. Amounts are exclusive of taxes, which are your responsibility other than taxes on our income.

7.2 Payment terms. The Service is sold on a prepaid balance. You add funds, and usage draws them down. Invoiced terms of net thirty days are available by separate written agreement; absent such an agreement, prepayment is the only method offered.

7.3 Queued Jobs are not billed. Billing begins at Placement and not before. A Job that waits for qualifying hardware accrues no charge while it waits, however long that is. This follows directly from section 5.3: we will not charge you for the consequence of a commitment we made for our own reasons.

7.4 Refunds. Where we terminate your account for conduct within section 3.1 or 3.2 of the Acceptable Use Policy, any unused prepaid balance is forfeited. Where we terminate for any other breach, and where you close your account voluntarily, unused prepaid balance is refunded pro rata. This provision and section 7.1 of the Acceptable Use Policy state the same rule; if they ever differ, this one governs.

7.5 Late payment. Where invoiced terms apply and an invoice is unpaid fourteen days after its due date, we may suspend the Service after giving you written notice. Suspension is not termination: your account, your Evidence Bundles and any remaining balance are preserved, and the Service resumes on payment.

8. Intellectual property

8.1 Your property. You retain all right, title and interest in your workload, your input data and your results. We take no licence to them beyond what is technically necessary to place and run the Job, we do not inspect them, and we do not use them for any purpose of our own — including the training or evaluation of any model.

8.2 Our property. We retain all right, title and interest in the Service, including the verification software, the policy engine, the Evidence Bundle format, our signing keys and our documentation.

8.3 Evidence Bundles. Evidence Bundles issued in respect of your Jobs are yours to retain, export and share. Our signature on a bundle does not transfer ownership of our signing key or of the bundle format.

8.4 Feedback. If you send us suggestions about the Service, we may use them without obligation to you.

9. Confidentiality

9.1 Mutual obligation. Each party will protect the other’s confidential information with at least reasonable care and will not disclose it except to personnel and advisers who need it and are bound by comparable obligations.

9.2 What we hold. What we hold about you is narrow by design: the credential hash described in section 3.3, your Attestation Policies, your Job metadata, the verification records supporting each Placement, and your billing records. Where a Job carries your files or your clients’ data, section 5.6 states plainly what we do and do not claim about it, and a signed Data Processing Agreement governs it.

10. Export control, sanctions and where we operate

You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are not a person listed on any applicable restricted party list.

You will not use the Service to circumvent export controls on computing hardware, including by obtaining remote access to controlled hardware you could not lawfully import.

We may restrict Placement to specific jurisdictions, or refuse Placement entirely, in order to comply with applicable law or with a placement policy you have stated. A restriction imposed for either reason is not a breach of these Terms by us.

The Service does not presently broker access to export-controlled computing accelerators. Section 4.4 of the Acceptable Use Policy states what happens if that ever changes.

Separately from the above, and for reasons unconnected to it, we do not currently offer the Service in mainland China. That is a business decision about where we are presently able to meet local data protection obligations. Mainland China is not subject to comprehensive United States sanctions and nothing in this section should be read as suggesting otherwise. Hong Kong and Macau are separate jurisdictions and are not affected. Section 4.5 of the Acceptable Use Policy states the same restriction.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that hardware manufacturers’ attestation implementations are free of defect; that a trust anchor will not be compromised or rotated by its issuer; that a host which satisfied a Policy at the time of verification will remain in that state; or that an Attestation Policy you select is sufficient for your purposes.

We do not warrant the conduct of Operators beyond the obligations we impose on them contractually, and we do not warrant the correctness of your workload or its results.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE FEES PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to a party’s indemnification obligations, to your breach of sections 6 or 10, to either party’s breach of confidentiality, or to liability that cannot lawfully be limited.

13. Indemnification

13.1 By you. You will defend and indemnify us against third-party claims arising from your workload, your data, your use of the Service in violation of these Terms or the Acceptable Use Policy, or your violation of export control or sanctions law.

13.2 By us. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that party’s intellectual property rights, excluding claims arising from your workload or from your combination of the Service with anything else.

14. Term, suspension and termination

14.1 Term. These Terms apply from your first use of the Service until terminated.

14.2 Termination by you. You may close your account at any time. Unused prepaid balance is refunded pro rata, as stated in section 7.4.

14.3 Suspension and termination by us. We may suspend or terminate your account for breach of these Terms or the Acceptable Use Policy, for non-payment under section 7.5, or where required by law. Except where the conduct falls within section 3.1 or 3.2 of the Acceptable Use Policy, or where the law requires otherwise, we will give you notice first.

14.4 Effect. On termination your right to use the Service ends. Evidence Bundles already issued remain valid records of what they state, and our signature on them remains verifiable. You have thirty days from termination to export your Evidence Bundles; after that we are not obliged to retain them, and you should assume they are gone. Retention of underlying attestation evidence is governed by our Privacy Policy. Sections 8, 9, 11, 12, 13 and 15 survive termination.

15. General

15.1 Governing law. These Terms are governed by the laws of the State of Kansas, without regard to conflict of laws principles.

15.2 Venue. Any action arising out of these Terms shall be brought exclusively in the state or federal courts located in Sedgwick County, Kansas, and both parties consent to the personal jurisdiction of those courts.

15.3 Changes. We may change these Terms. Where a change materially reduces your rights or increases your obligations, we will give you notice before it takes effect and you may close your account under section 14.2 rather than accept it. We keep previous versions available.

15.4 Entire agreement. These Terms, together with the documents incorporated by section 1.3 and any order form or Data Processing Agreement signed by both parties, are the entire agreement between us on their subject matter.

15.5 Assignment. Neither party may assign these Terms without the other’s written consent, except to a successor in connection with a merger or a sale of substantially all of its assets.

15.6 Severability. If a provision is held unenforceable, the rest remains in force.
